Company documents fall into two groups: certificates issued by Companies House, which are public documents, and documents signed by company officers, which need certifying first.
Companies House documents
A company certificate issued by Companies House, such as a certificate of incorporation, can go to the FCDO without any notary step. If you need a certified copy of another registered document, order it from Companies House rather than certifying a printout.
Documents signed by company officers
Board resolutions, shareholder agreements, contracts and similar documents have to be certified by a UK notary or solicitor first. They will usually need to see proof of identity and of the signatory’s authority to act for the company.
One apostille or several?
Each document normally needs its own apostille, and the FCDO charges per document. Some recipients accept a single apostille on a bundle, so ask what yours wants before you order.
Common uses
- Opening a bank account abroad
- Registering a branch or subsidiary
- Entering cross-border contracts
- Applying for overseas licences or tenders
